Consent, Assignment, Release & Waiver and Non-Disclosure Agreement
(the “Consent”)
For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, I hereby grant to Mattel Canada Inc. and The T1 Agency Ltd. and any of their respective affiliates, related entities and/or agents (hereinafter collectively, “Mattel”), the absolute, irrevocable, unrestricted and perpetual right and permission to copy, distribute, publish, or otherwise use in any manner whatsoever all or any part of the photographic materials and/or video footage (the “Materials”) taken on the date indicated below of my child or ward identified below (my “Child”), in true composite or distorted form and in conjunction with my Child’s name or a fictitious name, in any media, including print, electronic, Internet or other, around the world and in perpetuity. I also hereby assign to Mattel any copyright or other intellectual property right, which I or my Child may have in the Materials and waive any moral rights that I or my Child may have therein.
I agree that Mattel may use all or any part of the Materials for a variety of purposes without any further notice to me or my Child, including for greater certainty in connection with any advertisements, commercials, packaging or other promotional materials, and I hereby waive, on behalf of my Child, any right to inspect or approve any such use of the Materials. I further acknowledge and agree that neither I nor my Child shall have any claim (including, without limitation, claims based upon invasion of privacy, defamation or right of publicity) arising out of any use of the Materials as provided for herein.
I hereby assume all risk for any injury that my Child may sustain during his/her participation at the event in question, unless any such injury is sustained as a result of the gross negligence of Mattel or any of its agents or employees. I hereby indemnify, release, discharge and agree to defend and hold harmless Mattel Canada Inc., its affiliates, related entities, representatives, successors, assigns, sub-contractors and employees and any other person or corporation acting on its or their behalf or under its or their instruction, from and against any liability in connection with the event or the use of the Materials.
I acknowledge that the full consideration for this Consent shall be select Barbie® dolls and/or playsets which shall be remitted to me, on behalf of my Child, on the date of the event.
At all times, I agree to keep in strict confidence and will not disclose any confidential or proprietary information regarding the Materials or the event in which my Child participated such as, but not limited to, recruitment process, compensation, promotion knowledge, ideas, concepts, and other data relating to the Materials, the business of Mattel, or any client, customer or business partner of Mattel, to any person or entity, or make use of any such confidential or proprietary information for my own purpose or for the benefit of any person or entity.
I hereby warrant and declare that: (a) I have reached the age of majority in my jurisdiction of residence; (b) I have the requisite capacity to execute this Consent on behalf of my Child; and (c) I have read and understood the contents hereof.
STEMCamp Waiver
STEM Camp, its officers, directors, agents, contractors, employees, coaches/ instructors, trainers, volunteers, members and representatives (hereinafter collectively referred to as “STEM Camp”) is not responsible for any injury, loss or damage of any kind sustained by a person participating in any and all STEM Camp activities, events, performances (hereinafter collectively referred to as “Activities”) including injury, loss, or damage which might be caused. Description of Risks In consideration of my child’s (children’s) participation in the Activities of STEM Camp, I acknowledge that I am aware of the possible risks, dangers and hazards associated with my child’s (children’s) participation in the Activities of STEM Camp.
These risks include but are not limited to the following: 1 Injuries resulting in muscular or soft tissue injuries including sprains, strains, bruises, scrapes, cuts, etc. 2 Injuries resulting from the failure to properly use equipment or follow instructions, by my child (children) or other participants. 3 Risk of experiencing fatigue, dizziness, fainting, etc. as well as the potential risk of further injury as a result of the above. 4 Injuries that may result from the transportation accidents to and from the Activities of STEM Camp. Release of Liability, Waiver of Claims and Indemnity Agreement In consideration of STEM Camp allowing my child’s (children’s) participation in its Activities, I agree as follows:
1 TO ASSUME AND ACCEPT ALL RISKS arising out of, associated with, or related to my child’s (children’s) participating in the Activities of STEM Camp. 2 TO WAIVE AND ALL ACTIONS, CAUSES OF ACTION, CLAIMS AND DEMANDS FOR DAMAGES, LOSS OR INJURY that I have or may have in the future arising out of, associated with, or related to my child’s (children’s) participating in the Activities of STEM Camp. 3 TO RELEASE STEM Camp, and STEM Camp partners, from any and all liability for any loss, damage, injury or expense. 4 TO HOLD HARMLESS AND INDEMNIFY STEM Camp, and STEM Camp partners, from any and all liability for any damage to the property of, or bodily injury to, any third party, resulting from my child’s (children’s) participation in the Activities; and 5 TO FOLLOW the rules and instructions given by those responsible for and in charge of any Activities of STEM Camp. I ACKNOWLEDGE THAT I HAVE READ AND UNDERSTOOD THIS AGREEMENT, that I have executed this agreement voluntarily and that this agreement is binding upon myself, my heirs, executors, administrators and representatives.
Photo & Video Waiver / Release STEM Camp, and STEM Camp partners, use photographs and videos of program participants for promotional, commercial and advertising purposes. STEM Camp, and STEM Camp partners, collect on an ongoing basis individual and group photos and videos of participants at various events and activities. STEM Camp, and STEM Camp partners, ask for permission to use your child’s (children’s) photo and/or video in promotional, commercial and advertising material to promote STEM Camp. I AGREE to waive ownership of any photographic or video records taken by STEM Camp, and STEM Camp partners. I AGREE to permit STEM Camp, and STEM Camp partners, to use my child’s (children’s) image (in photographic and/or video, digital or electronic form) for and in STEM Camp, and STEM Camp partners, publications, posters, advertisements, websites, promotional material or any other media, without limitation, and agree not to make claim for misappropriation of personality, breach of privacy or other loss or damages against STEM Camp, or STEM Camp partners, in respect thereof.
